Terms of Service

Welcome to Kovex. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Novalyra LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Kovex platform, including our website at kovexagent.com, all associated software, AI agents, tools, and services (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

1. Eligibility

To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding agreement; (c) not be barred from receiving services under the laws of the United States or any other applicable jurisdiction; and (d) provide accurate and complete registration information. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration and Security

To access the Service, you must create an account by providing a valid email address and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at support@kovexagent.com if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3. Description of Service

Kovex is an AI-powered social media management platform designed specifically for dental practices. The Service provides a team of seven AI agents that create, design, schedule, and publish social media content to connected Instagram and Facebook accounts. Users connect their Meta (Instagram and Facebook) accounts to Kovex through the official Meta API.

The Service includes, but is not limited to: AI-generated social media posts, AI-generated visual designs, content scheduling, content publishing, and social media strategy recommendations tailored to dental practices. Features may vary based on your subscription plan.

4. Subscription Plans and Billing

Access to the Service requires a paid subscription. Our standard plan is priced at $47 per month. All prices are listed in U.S. dollars. Additional plan tiers and pricing may be offered at our discretion.

All payment processing is handled by our third-party payment processor, Whop. By subscribing, you agree to Whop's terms of service and payment policies in addition to these Terms. You authorize us (through Whop) to charge your designated payment method on a recurring monthly basis until you cancel your subscription.

Your subscription begins on the date of your first payment and automatically renews each month on the same calendar date. If your payment method fails or is declined, we may suspend your access to the Service until payment is successfully processed. We reserve the right to modify pricing with at least 30 days' prior notice. Any price change will take effect at the start of your next billing cycle following the notice period.

5. No Contracts - Cancel Anytime

The Service operates on a month-to-month basis. There are no long-term contracts, commitments, or early termination fees. You may cancel your subscription at any time through the Whop billing portal or by contacting us at support@kovexagent.com. Upon cancellation, you will retain access to the Service through the end of your current paid billing period, after which your access will be deactivated.

6. Refund Policy

We offer a 30-day money-back guarantee for new subscribers. If you are dissatisfied with the Service within the first 30 days of your initial subscription, you may request a full refund by contacting us at support@kovexagent.com. Refund requests must be submitted within 30 calendar days of your first payment date.

After the initial 30-day period, all payments are non-refundable. Partial-month refunds are not provided for mid-cycle cancellations. We reserve the right to deny refund requests that we reasonably believe are abusive or fraudulent.

7. Meta Account Connection and Third-Party Integrations

The Service requires you to connect your Meta (Instagram and/or Facebook) account(s) through the official Meta API. By connecting your Meta account, you grant us permission to access, retrieve, and publish content on your behalf through the authorized API scopes. You acknowledge that your use of Meta's platforms is additionally governed by Meta's Terms of Service and Data Policy.

We are not responsible for any changes, outages, or disruptions to Meta's API or platforms that may affect the Service. If Meta revokes API access, modifies its API, or changes its policies in a way that impacts our ability to deliver the Service, we will make reasonable efforts to adapt but cannot guarantee uninterrupted functionality.

You may disconnect your Meta account(s) from the Service at any time through your dashboard settings or by revoking permissions directly within your Meta account settings.

8. User Content

"User Content" means any information, data, text, images, logos, branding materials, or other content that you provide, upload, or transmit through the Service, including but not limited to practice details, branding preferences, and content direction.

You retain all ownership rights in your User Content. By submitting User Content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your User Content or close your account, except where retention is required by law or for legitimate business purposes (such as backups maintained for a reasonable period).

You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to use your User Content, and that your User Content does not infringe on the intellectual property rights or other rights of any third party.

9. AI-Generated Content

The Service uses artificial intelligence to generate social media posts, images, designs, captions, and other content ("AI-Generated Content") on your behalf. You acknowledge and agree to the following:

(a) Ownership: Upon generation and delivery to you, AI-Generated Content created through the Service for your account is yours to use. We do not claim ownership over AI-Generated Content produced specifically for your account.

(b) No Guarantee of Uniqueness: AI models may produce similar or identical outputs for different users. We do not guarantee that AI-Generated Content will be unique, original, or free from similarity to content generated for other users or content that exists elsewhere.

(c) Review Responsibility: You are solely responsible for reviewing, editing, and approving all AI-Generated Content before it is published to your social media accounts. While we strive for accuracy and quality, AI-generated outputs may contain errors, inaccuracies, or content that does not align with your preferences or professional standards.

(d) Compliance: You are responsible for ensuring that all content published through your accounts, whether AI-generated or otherwise, complies with applicable laws, regulations, and professional standards, including any dental industry advertising regulations in your jurisdiction.

10. Intellectual Property

The Service, including its underlying technology, software, AI models, algorithms, user interface, design, branding, logos, documentation, and all other proprietary elements, is and remains the exclusive property of Novalyra LLC. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

"Kovex" and related marks, logos, and trade names are trademarks of Novalyra LLC. You may not use our trademarks without prior written consent, except as reasonably necessary to refer to the Service in a factual, non-misleading manner.

We welcome feedback, suggestions, and ideas regarding the Service. Any feedback you provide becomes our property, and we may use it without restriction or compensation to you.

11. Acceptable Use

You agree not to use the Service to:

(a) Violate any applicable local, state, national, or international law or regulation; (b) Generate, publish, or distribute content that is defamatory, obscene, harassing, threatening, hateful, discriminatory, or otherwise objectionable; (c) Infringe on the intellectual property rights, privacy rights, or other rights of any third party; (d) Transmit viruses, malware, or other harmful code; (e) Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service; (f) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (g) Use the Service for any purpose other than managing social media for a legitimate dental practice or related healthcare business; (h) Resell, sublicense, or redistribute the Service or any AI-Generated Content for commercial resale purposes; (i) Use automated scripts, bots, or other automated means to access the Service outside of its intended functionality; (j) Circumvent any usage limits, rate limits, or security measures implemented in the Service; (k) Publish content that makes false, misleading, or unsubstantiated claims about dental procedures, treatments, or outcomes; or (l) Use the Service in any way that could damage, disable, or impair the Service or interfere with other users' enjoyment of the Service.

We reserve the right to investigate violations of these provisions and may suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms.

12. Service Availability and Modifications

We strive to provide reliable, uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including third-party service outages (such as Meta API disruptions).

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. We will make reasonable efforts to provide advance notice of material changes that significantly affect your use of the Service. Your continued use of the Service after any modification constitutes your acceptance of the updated Service.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OR CONTENT OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) AI-GENERATED CONTENT WILL BE FREE FROM ERRORS, INACCURACIES, OR INAPPROPRIATE MATERIAL; OR (E) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT THE SERVICE RELIES ON ARTIFICIAL INTELLIGENCE TECHNOLOGY, WHICH IS INHERENTLY PROBABILISTIC AND MAY PRODUCE UNEXPECTED OR INACCURATE RESULTS. YOU USE THE SERVICE AND RELY ON AI-GENERATED CONTENT AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVALYRA LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Novalyra LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) content published through your connected social media accounts, whether AI-generated or otherwise; (d) your violation of these Terms; (e) your violation of any applicable law, regulation, or third-party right; or (f) any dispute between you and a third party relating to the Service.

16. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy. 17. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

18. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at support@kovexagent.com. We will make good-faith efforts to resolve any Dispute within 30 days of receiving your written notice.

If a Dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration administered by a mutually agreed-upon arbitration provider under its then-current rules. The arbitration shall be conducted in the State of Wyoming, or at another mutually agreed-upon location. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms. Upon termination: (a) your right to use the Service will immediately cease; (b) we may delete your account data after a reasonable retention period; and (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

You may terminate your account at any time by canceling your subscription and contacting us at support@kovexagent.com to request account deletion. We will process account deletion requests within a reasonable timeframe, subject to any legal obligations to retain certain data.

20. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify you via email or through the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, your sole remedy is to discontinue using the Service and cancel your subscription.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Novalyra LLC with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us regarding the Service.

23. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall only be effective if in writing and signed by an authorized representative of Novalyra LLC.

24. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
